Terms of Service

These Terms govern your use of the hosted Facet service (the “Service”), provided by the operator of Facet (the “Operator”, “we”, “us”). By using the Service you agree to these Terms and to our Privacy Policy.
1. What the Service does
Facet profiles a code file across multiple quality dimensions and produces a report. A language model extracts findings (citing lines); deterministic code, not the model, assigns scores. Each dimension is labelled reliable or provisionalaccording to whether it has cleared our four-bar reliability gate (schema coverage, agreement, minority-recall, test-retest). “Reliable” means measured consistently; construct validity is reported separately on the methodology page. Provisional dimensions are directional indicators, not final measurements.
2. Your code stays yours
You retain all intellectual property rights in the code you submit. We claim no ownership of it and acquire only a limited, non-exclusive licence to process your code for the sole purpose of performing the analysis you request, for the duration of that analysis. We do not retain your source code (see the Privacy Policy). You likewise own the reports generated for you.
Separately, and only if you opt in, you grant us a licence to retain and use de-identified measurement signals (never your source code) to improve our benchmarks and the Service.
3. Third-party analysis & your consent
To analyse your code, the Service sends it to third-party model providers as described in the Privacy Policy. You must affirmatively consent to this each time you profile. We cannot warrant the data-handling practices of those third parties; you are responsible for ensuring you are entitled to send the submitted code to them.
4. Acceptable use
You agree not to:
- submit code containing live secrets, credentials, or personal information about other people;
- submit code or data you are not legally or contractually permitted to share with third-party processors;
- submit unlawful, infringing, or malicious content, or use the Service to develop or operate anything illegal;
- attempt to reverse-engineer, extract, or reconstruct the Facet instrument (its indicators, scoring criteria, or judge routing), or to circumvent quotas, authentication, or security controls;
- resell or provide the Service to third parties except as expressly permitted.
Our secret-scrub is a best-effort safeguard, not a guarantee, and does not transfer responsibility for what you submit.
5. Source-code licence vs Service terms
Facet’s source code is published under the PolyForm Noncommercial 1.0.0 licence, which governs copying, modifying, and redistributing that source. That source licence is separate from these Terms. Your use of this hosted Service (including profiling your own commercial code) is governed by these Terms, not by the PolyForm licence,and commercial use of the hosted Service is permitted subject to your plan. In short: the noncommercial source licence restricts redistributing Facet’s code; it does not restrict your use of the product we host for you.
6. Accounts, plans & quotas
You are responsible for your account and for activity under it. Free-tier usage is subject to quotas, and during the beta part of the free monthly allowance unlocks after you rate a report. Paid plans, where offered, are governed by the pricing presented at purchase. We may change features or quotas with reasonable notice.
We send you the service email needed to operate your account (for example sign-in links). Separately, product-update email (launch and new features) is sent only if you opt in, and every such message includes an unsubscribe. Opting in is not a condition of using the Service.
7. Consumer guarantees (Australia)
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for failing to comply with such a non-excludable guarantee can be limited, it is limited (at our option) to re-supplying the service or paying the cost of re-supply.
8. Disclaimers
Subject to section 7, the Service is provided “as is”. Facet’s reports are measurements and recommendations, not professional, security, or legal advice, and do not guarantee that your code is correct, secure, or fit for any purpose. We make no warranty as to provisional dimensions, and you should treat all output as one input to your own engineering judgement.
9. Limitation of liability
Subject to section 7, to the maximum extent permitted by law we are not liable for indirect, incidental, or consequential loss, and our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim (or, if you are on the free tier, a nominal amount to be specified).
10. Suspension & termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms or to protect the Service or other users. Sections that by their nature should survive termination (IP, disclaimers, liability, governing law) survive.
11. Changes to these Terms
We may update these Terms and will post changes here with a new date. Material changes will be notified where practicable. Continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of Australia and the State or Territory in which the Operator is established, and you submit to the non-exclusive jurisdiction of its courts. (The specific State/Territory will be confirmed before launch.)
